Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the corporate website at https://turnloop.games (the “Website”), operated by TurnLoop Games, Inc. (“TurnLoop,” “we,” “us,” or “our”).
By accessing or using the Website, you agree to these Terms to the extent they are enforceable under applicable law. If you do not agree, do not use the Website.
1. Who we are
TurnLoop Games, Inc. is a Delaware corporation incorporated on 2026-03-02, with Delaware File Number 10529681. Our registered office and corporate address for legal notices is:

2. What the Website is
The Website is a pre-launch corporate information page for TurnLoop. It identifies TurnLoop as an operating technology and mobile-games studio and provides basic contact information.
The Website does not currently provide games, apps, accounts, paid services, downloads, forums, newsletters, subscriptions, contests, sweepstakes, virtual currency, in-game items, leaderboards, chat, user-generated content, gambling, simulated gambling, prizes, or social-casino features.
Future TurnLoop consumer products will be governed by their own end-user licence agreement, product terms, privacy notice, platform terms, app-store disclosures, official rules where applicable, and product rules. These Website Terms do not grant you rights to use any future product and are not a substitute for a future game EULA.
Plain English: these Terms cover the current corporate website only, not a future game.
3. Eligibility
You may use the Website only if you are legally able to agree to these Terms. If you are under 16, or under the age required in your jurisdiction to agree to online terms, you may use the Website only with the consent and supervision of a parent or legal guardian.
You may not use the Website if applicable law prohibits you from receiving US services or software, or if sanctions or restrictions make your use unlawful.
4. Privacy
TurnLoop’s Privacy Policy explains how we handle personal information in connection with the Website and email correspondence.
If you send us an email, you are responsible for ensuring that the information you provide is accurate and that you have the right to send it.
5. Intellectual property
The Website, including its text, structure, design, trade names, logos, wordmarks, graphics, and other content, is owned by TurnLoop or its licensors and protected by applicable laws.
Subject to these Terms, TurnLoop grants you a limited, revocable, non-exclusive, non-transferable licence to access and view the Website for personal, informational, and ordinary business-evaluation purposes.
You may not copy, modify, distribute, sell, lease, scrape, frame, mirror, or create derivative works based on the Website, except as allowed by law or with TurnLoop’s prior written permission.
6. Acceptable use
You agree not to use the Website to:
- violate any law, regulation, or third-party right;
- interfere with the Website’s security, availability, operation, or integrity;
- attempt to gain unauthorized access to any system, account, server, inbox, domain, deployment, or network;
- probe, scan, or test vulnerabilities except as permitted by a written vulnerability-disclosure policy signed or published by TurnLoop;
- introduce malware, harmful code, spam, or abusive traffic;
- scrape, crawl, harvest, or index the Website at a scale or frequency that creates operational burden;
- impersonate TurnLoop or its personnel, affiliates, investors, vendors, or representatives;
- use Website content in a misleading way, including to imply endorsement, partnership, employment, investment, or authorization; or
- use contact emails to send unlawful, deceptive, threatening, harassing, or bulk unsolicited communications.
TurnLoop may block, rate-limit, report, or take other lawful action against activity that violates these Terms or threatens the Website.
7. Third-party services and links
The Website may reference or link to third-party services, including infrastructure, platform, startup-perk, or app-store programs. Third-party sites and services are not controlled by TurnLoop, and their own terms and privacy policies apply.
A reference to a third-party service does not mean that TurnLoop endorses that service, has been accepted into that service, has a partnership with that service, or is approved by that service, unless we expressly say so.
8. No professional advice; no investment offer
The Website is provided for general corporate information only. It is not legal, tax, accounting, investment, employment, financial, technical, or professional advice.
Nothing on the Website is an offer to sell securities, a solicitation to buy securities, a fundraising offer, a hiring commitment, a product-launch commitment, or a promise that any specific game or feature will be released.
9. No game service, gambling, or virtual items on the Website
The Website is not a game service and does not include real-money gambling, simulated gambling, chance-based gameplay, virtual currency, virtual items, sweepstakes, prizes, or gameplay rewards.
Any future TurnLoop game must have product-specific legal terms before launch, including terms addressing age eligibility, virtual items, purchases, refunds, randomized rewards, gameplay rules, account deletion, app-store rules, and any social or community features.
Plain English: this site is not the game and does not create any right to future game content or virtual items.
10. Unsolicited submissions
The Website has no forms or upload features. If you send ideas, suggestions, proposals, pitch materials, creative concepts, resumes, portfolios, business offers, or other materials by email, you do so voluntarily.
Unless we have a separate written agreement with you, TurnLoop has no obligation to treat unsolicited materials as confidential, review them, return them, compensate you for them, or avoid independent development of similar ideas.
This clause does not override a separate nondisclosure agreement, services agreement, employment agreement, contractor agreement, investor agreement, or other written agreement signed by TurnLoop.
Plain English: please do not send confidential ideas unless we have a signed agreement first.
11. Changes to the Website
TurnLoop may change, suspend, restrict, or discontinue the Website or any part of it at any time without notice. We do not guarantee that it will always be available, error-free, secure, or current.
12. Disclaimers
THE WEBSITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TURNLOOP DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, SECURITY, AND RELIABILITY.
TurnLoop does not warrant that the Website will be uninterrupted, secure, free of harmful code, error-free, current, complete, or compatible with every device, browser, network, or jurisdiction.
Some jurisdictions do not allow certain warranty exclusions. In those jurisdictions, the exclusions apply only to the maximum extent permitted by law.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TURNLOOP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SERVICE PROVIDERS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE WEBSITE OR THESE TERMS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TURNLOOP’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TURNLOOP TO USE THE WEBSITE; OR (B) US $100.
These limitations apply to all theories of liability, including contract, tort, negligence, strict liability, warranty, statute, and any other legal theory, except where prohibited by law.
Plain English: because the Website is free and informational, TurnLoop limits liability as far as the law allows.
14. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless TurnLoop and its officers, directors, employees, contractors, agents, service providers, and affiliates from claims, damages, losses, liabilities, costs, and expenses, including reasonable attorneys’ fees, arising from: (a) your misuse of the Website; (b) your violation of these Terms; (c) your violation of law or third-party rights; or (d) materials you send to TurnLoop in violation of these Terms.
TurnLoop may control the defence of any matter subject to indemnification, and you agree to cooperate with that defence.
15. Dispute resolution
Before filing a claim, you and TurnLoop agree to try to resolve the dispute informally. The party raising the dispute must send written notice describing the issue and the requested resolution. Notices to TurnLoop must be sent to legal@turnloop.games and to the postal address listed above. The parties will then have 60 days to try to resolve the dispute informally.
If the dispute is not resolved within 60 days, either party may bring the claim in the state or federal courts located in Delaware, subject to Section 16 below.
Nothing in this section prevents either party from seeking urgent injunctive or equitable relief for unauthorized access, IP misuse, confidentiality breaches, security incidents, or similar urgent harm.
16. Governing law and venue
These Terms and any dispute arising out of or related to the Website are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law rules that would require the law of another jurisdiction.
Subject to the informal process above, you and TurnLoop consent to the exclusive jurisdiction and venue of the state and federal courts located in Delaware for disputes arising out of or related to the Website or these Terms.
If you are a consumer in a jurisdiction whose mandatory consumer protection laws cannot be waived, nothing in these Terms limits rights you may have under those mandatory laws.
17. Changes to these Terms
TurnLoop may update these Terms from time to time. When we do, we will update the effective date above. Changes are effective when posted unless the updated Terms state a later effective date.
Your continued use of the Website after updated Terms are posted means you accept the updated Terms. If you do not agree to the updated Terms, stop using the Website.
18. Miscellaneous
These Terms, together with the Privacy Policy and other legal notices posted on the Website for the current Website, are the entire agreement between you and TurnLoop regarding your use of the Website.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable where possible.
TurnLoop’s failure to enforce a provision is not a waiver of its right to do so later. You may not assign these Terms without TurnLoop’s prior written consent. TurnLoop may assign them in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or by operation of law. Headings are for convenience only.
